Item 7.01 Regulation FD Disclosure.
TCF National Bank (“TCF Bank”), a wholly owned subsidiary of TCF Financial Corporation (the “Company”), is launching an offering of fixed-to-floating rate subordinated bank notes due 2029 (the “Subordinated Notes”).
The Subordinated Notes to be offered have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws. The Subordinated Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Subordinated Notes will be offered and sold only to institutional investors that are “accredited investors” within the meaning of Rule 501(a)(1), (2), (3) or (7) of Regulation D under the Securities Act.
This Current Report on Form 8-K is being issued pursuant to and in accordance with Rule 135c under the Securities Act, and it is neither an offer to sell nor a solicitation of an offer to buy any securities and shall not constitute an offer to sell or a solicitation of an offer to buy, or a sale of, the Subordinated Notes or any other securities in any jurisdiction in which such offer, solicitation or sale would be unlawful.
In connection with the offering of the Subordinated Notes, TCF Bank prepared a preliminary offering circular containing updated Unaudited Pro Forma Combined Condensed Consolidated Financial Information relating to the proposed transactions contemplated by the Agreement and Plan of Merger, dated January 27, 2019, between the Company and Chemical Financial Corporation. A copy of the Unaudited Pro Forma Combined Condensed Consolidated Financial Information is furnished as Exhibit 99.1 of this report.
