ITEM 8.01 Other Events
Following discussions with a large shareholder of the Company, the Company agreed to nominate Douglas Kass for election to the Board of
Directors of the Company at the 2019 Annual Meeting of Shareholders of the Company. The Company also will consider with the shareholder candidates for the election of one additional director to the Board at the 2019 Annual Meeting. The election
of Mr. Kass and any additional director to the Board of Directors would require an amendment to the bylaws of the Company, which the Company expects the Board of Directors would approve in advance of the 2019 Annual Meeting.
