Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 17, 2019, Robert D. Hartman, a Class I director of Zovio Inc (the “Company”) who has served as a director of the Company since November 2006, advised the Company that he has determined not to stand for re-election to the Company’s board of directors (the “Board”) at the Company’s upcoming annual meeting of stockholders, to be held on May 29, 2019 (the “Annual Meeting”).

Mr. Hartman’s decision not to stand for re-election was not due to any disagreement with the Company, and he will continue to serve on the Board until the expiration of his term at the Annual Meeting.

The Board intends to reduce the size of the Board from nine to eight members in accordance with the provisions of the Company’s bylaws, effective upon the expiration of Mr. Hartman’s term at the Annual Meeting.
